Özet
Bu çalışmada spor anonim şirketlerinde yönetim kurulu incelenmiş olup bu ana konudan önce genel olarak spor anonim şirketinden bahsedilmiştir. Spor anonim şirketinin kuruluşu, organları ve bunlara ilişkin ilkeler, birleşme ve devralma, halka arz ve sona erme halleri incelendikten sonra yönetim kurulu incelenmiştir. Bu inceleme yapılırken yönetim kurulu üyelerinin Spor Kulüpleri ve Spor Federasyonları Kanunu ve Türk Ticaret Kanunu hükümlerine göre sahip olması gereken nitelikler de açıklanmıştır. Hem anonim şirket hem de yönetim kurulu üyelerine ilişkin açıklamaların yapılması akabinde yönetim kurulu üyelerinin hukuki sorumluluğu bölümünde sorumluluğun kanunda düzenleniş şekli incelenmiş ve TTK’daki özel sorumluluk hallerine yer verilmiştir. Son olarak da ibra konusu ve sorumluluk davasında zamanaşımı incelenerek çalışma sonlandırılmıştır.
In this study, the board of directors in sports joint stock companies was examined, and before this main subject, sports joint stock companies was mentioned in general. After discussing the establishment of the sports joint stock companies, their organs and the related principles to them, mergers and acquisitions, public offerings, and termination cases were examined before delving into the board of directors. During this examination, the qualifications that the board members must have in accordance with the provisions of the Sports Clubs and Sports Federations Law and the Turkish Commercial Code were explained. Following explanations regarding both the joint-stock company and its board of directors, the section on the legal responsibility of board members was examined, and special liability cases under the Turkish Commercial Code were addressed. Finally, the matter of discharge and the statute of limitations in liability lawsuits were examined to conclude the study.
