dc.description.abstractÇalışmamızda yönetim kurulu üyelerinin anonim ortaklıkla işlem yapma yasağı incelenmiştir. Yönetim kurulu üyelerinin genel kurulun izni olmadan anonim ortaklıkla işlem yapması, kural olarak, kanun koyucu tarafından yasaklanmıştır. Bu bağlamda, 6762 sayılı Türk Ticaret Kanunu ile 6102 sayılı Türk Ticaret Kanunu’nda anonim ortaklıkla işlem yapma yasağı konusundaki farklılıklara dikkat çekilmiştir. Ayrıca İsviçre anonim ortaklıkla hukukunda konuya ilişkin düzenlemelere de –yeri geldikçe- değinilmiştir.en_US
dc.description.abstractThis paper deals with the prohibition of self- dealing by the board of directors of a joint stock company. The legislator has, in principle, prohibited the self- dealing by the board of directors provided that a permission has not been granted by the general assembly of shareholders. In this context, the dierences between the provisions concerning self- dealing under the Turkish Commercial Code numbered 6762 and the Turkish Commercial Code numbered 6102 have been analysed. Furthermore -to the extent necessary- the provisions foreseen under Swiss joint stock company law have also been set forth.en_US
